G\u0130R\u0130\u015e<\/strong><\/p>\n<p><strong>A. \u0130\u00c7T\u0130HATLARI B\u0130RLE\u015eT\u0130RME KONUSUNDAK\u0130 BA\u015eVURU<\/strong><\/p>\n<p>Yarg\u0131tay Birinci Ba\u015fkan\u0131, Yarg\u0131tay Hukuk Genel Kurulu Ba\u015fkan\u0131 ve Yarg\u0131tay 7, 9 ve 22. Hukuk Daireleri Ba\u015fkanlar\u0131 ile 12 Ocak 2016 tarihinde yap\u0131lan toplant\u0131da kararla\u015ft\u0131r\u0131ld\u0131\u011f\u0131 \u00fczere, Yarg\u0131tay Hukuk Genel Kurulu salonunda 1-3 ve 4 \u015eubat 2016 tarihlerinde Yarg\u0131tay 7, 9 ve 22. Hukuk Daireleri Ba\u015fkan ve \u00fcyeleri ile yap\u0131lan toplant\u0131 sonucunda i\u00e7tihat ayk\u0131r\u0131l\u0131\u011f\u0131 olup, uzla\u015fma sa\u011flanamayan 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince derhal fesihlerde i\u015f\u00e7iden savunma al\u0131nmas\u0131 gerekip gerekmedi\u011fi konusunda verilen farkl\u0131 kararlar sebebiyle i\u00e7tihatlar\u0131n birle\u015ftirilmesi gerekti\u011fi sonucuna var\u0131lm\u0131\u015ft\u0131r.<\/p>\n<p><strong>B. YARGITAY B\u0130R\u0130NC\u0130 BA\u015eKANLIK KURULUNUN KARARI VE \u0130\u00c7T\u0130HADI B\u0130RLE\u015eT\u0130RMEN\u0130N KONUSU<\/strong><\/p>\n<p>Yarg\u0131tay Birinci Ba\u015fkanl\u0131k Kurulunca 28 Eyl\u00fcl 2017 tarihli ve 299 say\u0131l\u0131 karar uyar\u0131nca, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince alm\u0131\u015f oldu\u011fu raporlar nedeniyle derhal fesihlerde i\u015f\u00e7iden savunma al\u0131nmas\u0131 gerekip gerekmedi\u011fi konusunda Daireler aras\u0131nda g\u00f6r\u00fc\u015f ayk\u0131r\u0131l\u0131\u011f\u0131 oldu\u011fu ve farkl\u0131 uygulamalar\u0131n s\u00fcrd\u00fcr\u00fcld\u00fc\u011f\u00fc sonucuna var\u0131ld\u0131\u011f\u0131ndan; bu ayk\u0131r\u0131l\u0131\u011f\u0131n \u0130\u00e7tihatlar\u0131 Birle\u015ftirme Hukuk Genel Kurulunca i\u00e7tihatlar\u0131 birle\u015ftirme yoluyla giderilmesi gerekti\u011fine karar verilmi\u015ftir.<\/p>\n<p>Ne var ki, Yarg\u0131tay \u0130\u00e7tihatlar\u0131 Birle\u015ftirme Hukuk Genel Kurulunda yap\u0131lan g\u00f6r\u00fc\u015fmeler s\u0131ras\u0131nda i\u00e7tihad\u0131 birle\u015ftirmeye konu uyu\u015fmazl\u0131\u011f\u0131n 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi uyar\u0131nca i\u015f\u00e7inin ald\u0131\u011f\u0131 sa\u011fl\u0131k raporlar\u0131 noktas\u0131nda topland\u0131\u011f\u0131, bu nedenle belirlenen i\u00e7tihad\u0131 birle\u015ftirme konusunun ger\u00e7ek ihtilaf\u0131 saptamaya yeterli olmad\u0131\u011f\u0131 sonucuna var\u0131larak, i\u00e7tihad\u0131 birle\u015ftirme konusunun \u201c4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince alm\u0131\u015f oldu\u011fu sa\u011fl\u0131k raporlar\u0131 nedeniyle derhal fesihlerde, i\u015f\u00e7iden savunma al\u0131nmas\u0131n\u0131n gerekip gerekmedi\u011fi\u201d \u015feklinde belirlenmesine oy birli\u011fi ile karar verilmi\u015ftir.<\/p>\n<p><strong>C. G\u00d6R\u00dc\u015e AYKIRILI\u011eININ G\u0130DER\u0130LMES\u0130 \u0130STEM\u0130NE KONU KARARLARDA BEL\u0130RT\u0130LEN G\u00d6R\u00dc\u015eLER\u0130N \u00d6ZETLER\u0130<\/strong><\/p>\n<p><strong>1. \u0130\u00e7tihatlar\u0131n Birle\u015ftirilmesi Konusu Kapsam\u0131nda Savunma Al\u0131nmas\u0131 Gerekti\u011fi G\u00f6r\u00fc\u015f\u00fcnde Olan Daireler<\/strong><\/p>\n<p>Yarg\u0131tay Dokuzuncu Hukuk Dairesi, konuyla ilgili olarak Yarg\u0131tay Birinci Ba\u015fkanl\u0131\u011f\u0131na bildirdikleri g\u00f6r\u00fc\u015flerinde \u00f6zetle; Dairenin 2015 y\u0131l\u0131nda verdi\u011fi kararlarda 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince alm\u0131\u015f oldu\u011fu raporlar nedeniyle i\u015f\u00e7inin i\u015f s\u00f6zle\u015fmesinin derhal feshinde savunma al\u0131nmas\u0131 gerekti\u011finin kabul edildi\u011fi, gerek\u00e7e olarak da 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 19\u2019uncu maddesinde sadece 25\u2019inci maddenin ikinci f\u0131kras\u0131 gere\u011fi yap\u0131lan fesihlerde savunma almak mecburiyetinin olmad\u0131\u011f\u0131, bunun d\u0131\u015f\u0131ndaki fesihler i\u00e7in savunma al\u0131nmas\u0131 y\u00f6n\u00fcnde yasal gereklilik oldu\u011fu belirtilmi\u015ftir.<\/p>\n<p><strong>2. \u0130\u00e7tihatlar\u0131n Birle\u015ftirilmesi Konusu Kapsam\u0131nda Savunma Al\u0131nmas\u0131n\u0131n Gerekmedi\u011fi G\u00f6r\u00fc\u015f\u00fcnde Olan Daireler<\/strong><\/p>\n<p>Yarg\u0131tay Yirmiikinci Hukuk Dairesi, konuyla ilgili olarak Yarg\u0131tay Birinci Ba\u015fkanl\u0131\u011f\u0131na bildirdikleri g\u00f6r\u00fc\u015flerinde \u00f6zetle; 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin ilk c\u00fcmlesi ile ayn\u0131 maddenin birinci f\u0131kras\u0131n\u0131n (b) bendine de\u011finildikten sonra Uluslararas\u0131 \u00c7al\u0131\u015fma \u00d6rg\u00fct\u00fcn\u00fcn \u00fclkemizce de onaylanan 158 Say\u0131l\u0131 Hizmet \u0130li\u015fkisine Son Verilmesi S\u00f6zle\u015fmesi\u2019nin 7\u2019nci maddesine g\u00f6re i\u015fverenden makul \u00f6l\u00e7\u00fclere g\u00f6re beklenemeyecek h\u00e2ller hari\u00e7, hakk\u0131ndaki iddialara kar\u015f\u0131 savunma f\u0131rsat\u0131 verilmeden bir i\u015f\u00e7inin hizmet ili\u015fkisinin, o i\u015f\u00e7inin tutumu ve verimi ile ilgili nedenlerle sona erdirilemeyece\u011fi, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun \u201cS\u00f6zle\u015fmenin feshinde usul\u201d ba\u015fl\u0131kl\u0131 19\u2019uncu maddesinin ikinci f\u0131kras\u0131na g\u00f6re ise \u201cHakk\u0131ndaki iddialara kar\u015f\u0131 savunmas\u0131n\u0131 almadan bir i\u015f\u00e7inin belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesi, o i\u015f\u00e7inin davran\u0131\u015f\u0131 veya verimi ile ilgili nedenlerle feshedilemez. Ancak, i\u015fverenin 25\u2019inci maddenin (II) numaral\u0131 bendi \u015fartlar\u0131na uygun fesih hakk\u0131 sakl\u0131d\u0131r.\u201d \u015feklinde d\u00fczenlendi\u011fi, madde gerek\u00e7esinde \u201cBelirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesi, i\u015f\u00e7inin davran\u0131\u015f\u0131 veya verimi ile ilgili bir nedenle feshediliyor ise, ona \u00f6nce hakk\u0131ndaki iddialara kar\u015f\u0131 savunma f\u0131rsat\u0131 verilecektir. Ancak, i\u015f\u00e7inin zihinsel veya bedensel yetersizli\u011fi, arkada\u015flar\u0131 veya amirleri ile s\u0131k\u00e7a ve gereksiz yere tart\u0131\u015fmaya giri\u015fmi\u015f olmas\u0131 gibi durumlarda savunmas\u0131n\u0131n al\u0131nmas\u0131 i\u015fverenden beklenemeyecektir. Ku\u015fkusuz, \u0130\u015f Kanununun 25. maddesinin (II) numaral\u0131 bendindeki \u015fartlar ger\u00e7ekle\u015fmi\u015f ise, i\u015fveren buna g\u00f6re bildirimsiz (derhal) fesih hakk\u0131n\u0131 kullanabilecektir.\u201d \u015feklinde ifade edildi\u011fi, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 18\u2019inci maddesinde \u201cyeterlilik\u201d kavram\u0131 kullan\u0131ld\u0131\u011f\u0131 h\u00e2lde, ayn\u0131 Kanun\u2019un 19\u2019uncu maddesinde \u201cverimlilik\u201d kavram\u0131n\u0131n kullan\u0131ld\u0131\u011f\u0131, buna g\u00f6re, i\u015fverenin, i\u015f s\u00f6zle\u015fmesini verim hari\u00e7 olmak \u00fczere i\u015f\u00e7inin yeterlili\u011fine dayal\u0131 olarak feshedecekse, savunmas\u0131n\u0131n al\u0131nmas\u0131n\u0131n gerekmeyece\u011fi (Ekonomi, M.: Hizmet Akdinin Feshi ve \u0130\u015f G\u00fcvencesi, \u00c7imento \u0130\u015fveren Dergisi, Mart 2003, \u00d6zel Ek, s. 14), nitekim madde gerek\u00e7esinde de \u201ci\u015f\u00e7inin zihinsel veya bedensel yetersizli\u011fi\u201d durumunda savunma al\u0131nmas\u0131n\u0131n i\u015fverenden beklenemeyece\u011fi hususunun a\u00e7\u0131k olarak belirtildi\u011fi, bu c\u00fcmleden olarak, kanun koyucunun \u201cverimlilik\u201d ve \u201cyeterlilik\u201d kavramlar\u0131n\u0131 bilin\u00e7li olarak farkl\u0131 kulland\u0131\u011f\u0131 sonucuna ula\u015f\u0131ld\u0131\u011f\u0131, bu noktada gerek\u00e7ede ifade edilen \u201czihinsel veya bedensel yetersizlik\u201d h\u00e2llerinin 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131na m\u00fcnhas\u0131r oldu\u011funu, di\u011fer taraftan 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin son f\u0131kras\u0131na g\u00f6re de, \u201c\u0130\u015f\u00e7i feshin yukar\u0131daki bentlerde \u00f6ng\u00f6r\u00fclen sebeplere uygun olmad\u0131\u011f\u0131 iddias\u0131 ile 18, 20 ve 21 inci madde h\u00fck\u00fcmleri \u00e7er\u00e7evesinde yarg\u0131 yoluna ba\u015fvurabilir.\u201d denilmekle, s\u00f6z konusu d\u00fczenlemede a\u00e7\u0131k olarak ayn\u0131 Kanun\u2019un 19\u2019uncu maddesine at\u0131f yap\u0131lmamas\u0131n\u0131n da, 25\u2019inci maddeye dayan\u0131larak yap\u0131lan fesihlerde savunma alma zorunlulu\u011funun bulunmad\u0131\u011f\u0131n\u0131 ortaya koydu\u011fu, bu itibarla i\u015f\u00e7inin alm\u0131\u015f oldu\u011fu raporlar nedeniyle i\u015f s\u00f6zle\u015fmesinin, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince i\u015fverence derhal feshinde, i\u015f\u00e7iden savunma al\u0131nmas\u0131n\u0131n gerekmedi\u011fi belirtilmi\u015ftir.<\/p>\n<p><strong>3. \u0130\u00e7tihatlar\u0131n Birle\u015ftirilmesi Konusu Kapsam\u0131nda Hukuk Genel Kurulu Ba\u015fkanl\u0131\u011f\u0131n\u0131n G\u00f6r\u00fc\u015f\u00fc<\/strong><\/p>\n<p>Yarg\u0131tay Hukuk Genel Kurulu Ba\u015fkanl\u0131\u011f\u0131, konuyla ilgili olarak Yarg\u0131tay Birinci Ba\u015fkanl\u0131\u011f\u0131na bildirdikleri g\u00f6r\u00fc\u015flerinde \u00f6zetle; 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 19\u2019uncu maddesine g\u00f6re \u201cHakk\u0131ndaki iddialara kar\u015f\u0131 savunmas\u0131n\u0131 almadan bir i\u015f\u00e7inin belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesi, o i\u015f\u00e7inin davran\u0131\u015f\u0131na veya verimi ile ilgili nedenlerle feshedilemez. Ancak, i\u015fverenin 25\u2019inci maddenin (II) numaral\u0131 bendi \u015fartlar\u0131na uygun fesih hakk\u0131 sakl\u0131d\u0131r.\u201d d\u00fczenlemesi kar\u015f\u0131s\u0131nda i\u015f\u00e7inin savunmas\u0131n\u0131n al\u0131nmas\u0131, i\u015f\u00e7inin davran\u0131\u015f\u0131 veya verimi ile ilgili nedenlerle i\u015f s\u00f6zle\u015fmesinin feshi i\u00e7in bir \u015fart olarak \u00f6ng\u00f6r\u00fcld\u00fc\u011f\u00fc ve salt i\u015f\u00e7inin savunmas\u0131n\u0131n al\u0131nmamas\u0131n\u0131n tek ba\u015f\u0131na, s\u00fcreli feshin ge\u00e7ersizli\u011fi sonucunu do\u011furaca\u011f\u0131, yine 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin son f\u0131kras\u0131na g\u00f6re, \u201c\u0130\u015f\u00e7i feshin yukar\u0131daki bentlerde \u00f6ng\u00f6r\u00fclen sebeplere uygun olmad\u0131\u011f\u0131 iddias\u0131 ile 18, 20 ve 21 inci madde h\u00fck\u00fcmleri \u00e7er\u00e7evesinde yarg\u0131 yoluna ba\u015fvurabilir.\u201d d\u00fczenlemesine yer verildi\u011fi, Yarg\u0131tay 9 ve 22. Hukuk Dairelerinin g\u00f6r\u00fc\u015f yaz\u0131lar\u0131 birlikte de\u011ferlendirildi\u011finde, her iki Daire taraf\u0131ndan 2015 y\u0131l\u0131 \u00f6ncesinde, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\u2019inci maddesinin birinci f\u0131kras\u0131n\u0131n (b) bendi gere\u011fince alm\u0131\u015f oldu\u011fu raporlar nedeniyle derhal fesihlerde i\u015f\u00e7iden savunma al\u0131nmas\u0131n\u0131n gerekmedi\u011finin kabul edildi\u011fi, ancak 2015 y\u0131l\u0131nda Yarg\u0131tay 9. Hukuk Dairesinin (24.11.2015 g\u00fcnl\u00fc ve 2015\/23385 E.-2015\/33398 K. say\u0131l\u0131 karar\u0131nda belirtildi\u011fi \u00fczere) bu konuda g\u00f6r\u00fc\u015f de\u011fi\u015ftirerek savunma al\u0131nmas\u0131n\u0131n gerekti\u011fini kabul etti\u011fi, Yarg\u0131tay Hukuk Genel Kurulunun, Daireler aras\u0131nda g\u00f6r\u00fc\u015f farkl\u0131l\u0131\u011f\u0131n\u0131n olu\u015fmas\u0131ndan sonraki d\u00f6neme ili\u015fkin konuyla ilgili verilmi\u015f karar\u0131 bulunmad\u0131\u011f\u0131, i\u00e7tihat ayk\u0131r\u0131l\u0131\u011f\u0131n\u0131n varl\u0131\u011f\u0131ndan s\u00f6z edilebilmesi i\u00e7in dairelerin ya kendi kararlar\u0131 ya da di\u011fer daire kararlar\u0131 veya Hukuk Genel Kurulu kararlar\u0131 aras\u0131nda devaml\u0131l\u0131k i\u00e7eren bir ayk\u0131r\u0131l\u0131\u011f\u0131n bulunmas\u0131 gerekti\u011fi, dolay\u0131s\u0131yla Yarg\u0131tay 9. Hukuk Dairesi ile Yarg\u0131tay 22. Hukuk Dairesi aras\u0131nda 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 25\/1-b maddesi gere\u011fince yap\u0131lan fesihlerde, i\u015f\u00e7iden savunma al\u0131nmas\u0131n\u0131n gerekip gerekmedi\u011fi konusunda i\u00e7tihat ayk\u0131r\u0131l\u0131\u011f\u0131 oldu\u011fu anla\u015f\u0131lmakla, i\u00e7tihatlar\u0131n birle\u015ftirilmesinin uygun olaca\u011f\u0131 belirtilmi\u015ftir.<\/p>\n<p><strong>II. \u0130\u00c7T\u0130HADI B\u0130RLE\u015eT\u0130RMEYLE \u0130LG\u0130L\u0130 KAVRAM, KURUM VE YASAL D\u00dcZENLEMELER<\/strong><\/p>\n<p><strong>A. \u0130\u00c7T\u0130HADI B\u0130RLE\u015eT\u0130RME KONUSU \u0130LE \u0130LG\u0130L\u0130 KAVRAMLAR VE KURUMLAR<\/strong><\/p>\n<p><strong>1. \u0130\u015f S\u00f6zle\u015fmesi<\/strong><\/p>\n<p><strong>1.1. Tan\u0131m\u0131<\/strong><\/p>\n<p>4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun (\u0130\u015f Kanunu\/Kanun\/\u0130\u015fK.) 8\u2019inci maddesine g\u00f6re i\u015f s\u00f6zle\u015fmesi, \u201cbir taraf\u0131n (i\u015f\u00e7i) ba\u011f\u0131ml\u0131 olarak i\u015f g\u00f6rmeyi, di\u011fer taraf\u0131n (i\u015fveren) da \u00fccret \u00f6demeyi \u00fcstlenmesinden olu\u015fan s\u00f6zle\u015fme\u201d olarak tan\u0131mlanm\u0131\u015ft\u0131r.<\/p>\n<p><strong><a href=\"http:\/\/www.alomaliye.com\/2011\/02\/04\/turk-borclar-kanunu-6098-sayili-kanun\/\">6098 say\u0131l\u0131 T\u00fcrk Bor\u00e7lar Kanunu<\/a><\/strong>\u2019nun (6098 say\u0131l\u0131 Kanun\/T\u00fcrk Bor\u00e7lar Kanunu\/TBK) 393\/1\u2019inci f\u0131kras\u0131nda ise \u201ci\u015f\u00e7inin i\u015fverene ba\u011f\u0131ml\u0131 olarak belirli veya belirli olmayan s\u00fcreyle i\u015f g\u00f6rmeyi ve i\u015fverenin de ona zamana veya yap\u0131lan i\u015fe g\u00f6re \u00fccret \u00f6demeyi \u00fcstlendi\u011fi s\u00f6zle\u015fme\u201d oldu\u011fu belirtilmi\u015ftir.<\/p>\n<p>S\u00f6z konusu bu tan\u0131mlardan anla\u015f\u0131laca\u011f\u0131 \u00fczere i\u015f s\u00f6zle\u015fmesi, i\u015f g\u00f6rme, \u00fccret \u00f6deme ve ki\u015fisel\/hukuki ba\u011f\u0131ml\u0131l\u0131k unsurlar\u0131ndan olu\u015fmaktad\u0131r. Ayr\u0131ca i\u015f s\u00f6zle\u015fmesi, ki\u015fisel ili\u015fki kurmak suretiyle kar\u015f\u0131l\u0131kl\u0131 bor\u00e7 do\u011furan ve s\u00fcrekli bor\u00e7 ili\u015fkisi yaratan bir s\u00f6zle\u015fme olma \u00f6zelliklerini de ta\u015f\u0131maktad\u0131r.<\/p>\n<p><strong>1.2. \u0130\u015f S\u00f6zle\u015fmesinin Sona Ermesi<\/strong><\/p>\n<p>\u0130\u015f s\u00f6zle\u015fmesinin ki\u015fisel ili\u015fki kuran, kar\u015f\u0131l\u0131kl\u0131 ve s\u00fcrekli bir bor\u00e7 ili\u015fkisi ortaya \u00e7\u0131karan bir s\u00f6zle\u015fme olmas\u0131, bu s\u00f6zle\u015fmenin hi\u00e7 sona ermeyece\u011fi anlam\u0131na gelmez. Dolay\u0131s\u0131yla her \u00f6zel hukuk s\u00f6zle\u015fmesinde oldu\u011fu gibi i\u015f s\u00f6zle\u015fmesi de ko\u015fullar\u0131n ger\u00e7ekle\u015fmesi h\u00e2linde sona ermektedir.<\/p>\n<p>\u0130\u015f s\u00f6zle\u015fmesinin sona erme nedenlerini, s\u00f6zle\u015fmenin feshi ve fesih d\u0131\u015f\u0131ndaki nedenler \u015feklinde iki grup alt\u0131nda toplamak m\u00fcmk\u00fcnd\u00fcr.<\/p>\n<p><strong>1.2.1. \u0130\u015f S\u00f6zle\u015fmesinin Fesih D\u0131\u015f\u0131nda Sona Ermesi<\/strong><\/p>\n<p>T\u00fcrk Bor\u00e7lar Kanunu\u2019nun 440\u2019\u0131nc\u0131 maddesi uyar\u0131nca i\u015f\u00e7inin \u00f6l\u00fcm\u00fc ile i\u015f s\u00f6zle\u015fmesi kendili\u011finden sona erer. Ayn\u0131 Kanun\u2019un 441\u2019inci maddesinde ise kural olarak i\u015fverenin \u00f6l\u00fcm\u00fc, s\u00f6zle\u015fmenin sona erme nedeni de\u011fildir. Ancak bu kural\u0131n istisnas\u0131 ayn\u0131 maddenin ikinci f\u0131kras\u0131nda yer almakta olup, i\u015fverenin a\u011f\u0131rl\u0131kl\u0131 olarak ki\u015fili\u011fi dikkate al\u0131narak kurulan i\u015f s\u00f6zle\u015fmesi, i\u015fverenin \u00f6l\u00fcm\u00fc ile kendili\u011finden sona erer.<\/p>\n<p>Ayr\u0131ca, i\u015f\u00e7i ve i\u015fverenin i\u015f s\u00f6zle\u015fmesinin sona ermesi y\u00f6n\u00fcnde yapt\u0131klar\u0131 anla\u015fmayla (bozma\/ikale s\u00f6zle\u015fmesi) ya da belirli s\u00fcreli i\u015f s\u00f6zle\u015fmesinde belirlenen s\u00fcrenin bitimi ile de i\u015f s\u00f6zle\u015fmesi kendili\u011finden sona ermektedir.<\/p>\n<p><strong>1.2.2. \u0130\u015f S\u00f6zle\u015fmesinin Feshi<\/strong><\/p>\n<p>\u0130\u015f hukukunun temel u\u011fra\u015f alanlar\u0131ndan birini olu\u015fturan ve uygulamada s\u0131kl\u0131kla ba\u015fvurulan s\u00f6zle\u015fmeyi sona erdiren neden, i\u015f s\u00f6zle\u015fmesinin feshidir.<\/p>\n<p>\u0130\u015f s\u00f6zle\u015fmesinin feshi, s\u00f6zle\u015fmenin taraf\u0131 olan i\u015f\u00e7i ya da i\u015fverenin tek tarafl\u0131 bir irade beyan\u0131 (fesih bildirimi) ile s\u00f6zle\u015fmenin sona erdirilmesidir. S\u00f6z konusu bu irade beyan\u0131, bozucu yenilik do\u011furucu bir hak olup, i\u015f s\u00f6zle\u015fmesini gelece\u011fe etkili olarak sonland\u0131ran bir hukuki tasarruf i\u015flemidir. Fesih bildirimi, hak sahibinin bu do\u011frultudaki iradesinin kar\u015f\u0131 tarafa ula\u015fmas\u0131yla sonu\u00e7 do\u011furaca\u011f\u0131ndan, kar\u015f\u0131 taraf\u0131n ayr\u0131ca kabul\u00fcne ihtiya\u00e7 bulunmamaktad\u0131r.<\/p>\n<p>Kural olarak fesih bildirimi herhangi bir \u015fekle tabi de\u011fildir. Fesih bildirimi yaz\u0131l\u0131 yap\u0131labilece\u011fi gibi s\u00f6zl\u00fc de yap\u0131labilir. Hatta baz\u0131 durumlarda \u00f6rne\u011fin i\u015f\u00e7inin elinden i\u015f yeri giri\u015f kart\u0131n\u0131n al\u0131nmas\u0131, i\u015f yerine sokulmamas\u0131 ya da i\u015f\u00e7inin devams\u0131zl\u0131k yapmas\u0131 gibi h\u00e2llerde i\u015f s\u00f6zle\u015fmesinin eylemli olarak feshedilmesi de m\u00fcmk\u00fcnd\u00fcr. Dolay\u0131s\u0131yla s\u00f6zle\u015fmeyi fesheden taraf\u0131n, i\u015f s\u00f6zle\u015fmesini sona erdirme iradesini yeterli a\u00e7\u0131kl\u0131kta ortaya koymas\u0131 gereklidir. Ba\u015fka bir deyi\u015fle, irade beyan\u0131nda fesih kelimesinin a\u00e7\u0131k\u00e7a belirtilmesi zorunlu de\u011fil ise de, irade beyan\u0131 kar\u015f\u0131 tarafa ula\u015ft\u0131\u011f\u0131 zaman irade sahibinin, i\u015f ili\u015fkisini sona erdirmek istedi\u011finin anla\u015f\u0131lmas\u0131 yeterlidir. Buna kar\u015f\u0131l\u0131k i\u015f g\u00fcvencesinden yararlanan i\u015f\u00e7inin i\u015f s\u00f6zle\u015fmesinin, i\u015fveren taraf\u0131ndan ge\u00e7erli nedenle feshedilmesi h\u00e2linde, i\u015fveren fesih bildirimini yaz\u0131l\u0131 olarak yapmak ve fesih sebebini a\u00e7\u0131k ve kesin bir \u015fekilde belirtmek zorundad\u0131r.<\/p>\n<p>Fesih bildiriminde bulunma hakk\u0131, s\u00f6zle\u015fmenin her iki taraf\u0131na yani i\u015f\u00e7i ve i\u015fverene de tan\u0131nm\u0131\u015ft\u0131r. \u00c7\u00fcnk\u00fc, sonsuza dek uzan\u0131p sona erdirilemeyecek bir i\u015f ili\u015fkisi, taraflar\u0131n ki\u015filik haklar\u0131na ters d\u00fc\u015fer (Centel, T.; \u0130\u015f G\u00fcvencesi, 1 .Bask\u0131, \u0130stanbul, 2013, s. 11).<\/p>\n<p>\u0130\u015f s\u00f6zle\u015fmesinin taraflarca feshi, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17\u2019nci maddesinde d\u00fczenlenen s\u00fcreli fesih ve ayn\u0131 Kanun\u2019un 24 ve 25\u2019inci maddelerinde d\u00fczenlenen hakl\u0131 nedenle derhal fesih olmak \u00fczere iki ayr\u0131 fesih t\u00fcr\u00fcn\u00fc kapsamaktad\u0131r. Buna kar\u015f\u0131l\u0131k, \u0130\u015f Kanunu\u2019nun 18\u2019inci maddesinde d\u00fczenlenen i\u015f g\u00fcvencesi h\u00fck\u00fcmlerine tabi i\u015f\u00e7inin i\u015f s\u00f6zle\u015fmesinin ge\u00e7erli nedenle feshi; 22\u2019nci maddesinde d\u00fczenlenen de\u011fi\u015fiklik feshi ve 29\u2019uncu maddesinde d\u00fczenlenen toplu i\u015f\u00e7i \u00e7\u0131kar\u0131lmas\u0131 h\u00e2lleri, Kanun ile sadece i\u015fverene tan\u0131nm\u0131\u015ft\u0131r.<\/p>\n<p>2. \u0130\u015f S\u00f6zle\u015fmesinin S\u00fcreli Feshi<\/p>\n<p>\u0130\u015f s\u00f6zle\u015fmesinin s\u00fcreli feshi, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17\u2019nci maddesinde d\u00fczenlenmi\u015ftir. S\u00fcreli fesih hakk\u0131, s\u00f6zle\u015fmenin taraf\u0131n\u0131n (i\u015f\u00e7i ya da i\u015fverenin), bu hakk\u0131na istinaden di\u011fer tarafa belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesinin s\u00fcreli fesih ile sona erdirilmesine ili\u015fkin bir irade beyan\u0131nda bulunmas\u0131d\u0131r. Kural olarak s\u00fcreli fesihte, fesih gerek\u00e7esinin g\u00f6sterilmesi zorunlulu\u011fu yoktur. E\u015f deyi\u015fle, s\u00fcreli fesihte, fesih serbestisi ilkesi ge\u00e7erlidir. Ancak fesih serbestisinin istisnas\u0131 da, i\u015f g\u00fcvencesinden yararlanan i\u015f\u00e7inin belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesinin s\u00fcreli feshinde s\u00f6z konusu olup, bu hususa a\u015fa\u011f\u0131da ge\u00e7erli fesih ba\u015fl\u0131\u011f\u0131 alt\u0131nda ayr\u0131ca de\u011finilecektir.<\/p>\n<p>\u201cBildirimli Fesih\u201d, \u201c\u00d6nelli Fesih\u201d, \u201c\u0130hbarl\u0131 Fesih\u201d, \u201cOla\u011fan Fesih\u201d gibi terimlerle de ifade edilen s\u00fcreli fesih belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesini, belirli bir s\u00fcreye riayet etmek suretiyle, bu s\u00fcrenin bitiminde sona erdiren tek yanl\u0131 bir irade beyan\u0131d\u0131r (Mollamahmuto\u011flu, H.\/Astarl\u0131, M.\/Baysal, U.; \u0130\u015f Hukuku, 6. Bas\u0131, Ankara, 2014, s.894).<\/p>\n<p>S\u00fcreli fesih hakk\u0131n\u0131n kullan\u0131lmas\u0131ndan s\u00f6z edebilmek i\u00e7in \u00f6ncelikle belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmesinin fesih bildirimiyle sona erdirilmesine y\u00f6nelik bir irade beyan\u0131 bulunmal\u0131d\u0131r. Zira 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17\u2019nci maddesinin birinci f\u0131kras\u0131na g\u00f6re, \u201cBelirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmelerinin feshinden \u00f6nce durumun di\u011fer tarafa bildirilmesi gerekir.\u201d<\/p>\n<p>Fesih beyan\u0131n\u0131n ge\u00e7erlili\u011fi kural olarak, bir \u015fekil \u015fart\u0131na tabi olmad\u0131\u011f\u0131 gibi fesih hakk\u0131n\u0131n kullan\u0131m\u0131 herhangi bir hak d\u00fc\u015f\u00fcr\u00fcc\u00fc s\u00fcreye de ba\u011fl\u0131 de\u011fildir. Ancak s\u00fcreli feshin T\u00fcrk Medeni Kanunu\u2019nun 2\u2019nci maddesindeki objektif iyi niyet kural\u0131na uygun d\u00fc\u015fecek bir zamanda yap\u0131lmas\u0131 gerekmektedir (O\u011fuzman, M. K.; T\u00fcrk Bor\u00e7lar Kanunu Ve \u0130\u015f Mevzuat\u0131na G\u00f6re Hizmet \u0130\u015f Akdinin Feshi, \u0130stanbul, 1955, s. 169; Mollamahmuto\u011flu\/Astarl\u0131\/Baysal, a.g.e., s.897-902).<\/p>\n<p>4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17\u2019nci maddesinin ikinci f\u0131kras\u0131nda bildirim s\u00fcreleri \u00f6ng\u00f6r\u00fclm\u00fc\u015ft\u00fcr. Bildirim s\u00fcresi, fesih beyan\u0131n\u0131n bildirildi\u011fi tarihten i\u015f ili\u015fkisinin son buldu\u011fu tarih aras\u0131nda ge\u00e7en s\u00fcre olarak anla\u015f\u0131lmal\u0131d\u0131r. Maddede belirtilen bildirim s\u00fcreleri asgari s\u00fcreler olup, i\u015f\u00e7i lehine s\u00f6zle\u015fme ile art\u0131r\u0131lmas\u0131 m\u00fcmk\u00fcnd\u00fcr. Bu bildirim s\u00fcreleri i\u015f\u00e7inin i\u015f yerindeki \u00e7al\u0131\u015fma s\u00fcresine yani k\u0131demine g\u00f6re artan ve asgari olarak 2 il\u00e2 8 hafta aras\u0131nda de\u011fi\u015fen niteli\u011fe sahiptir.<\/p>\n<p>4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17\u2019nci maddesinin be\u015finci f\u0131kras\u0131 uyar\u0131nca i\u015fveren, bildirim s\u00fcresine ait \u00fccreti pe\u015fin vermek suretiyle i\u015f s\u00f6zle\u015fmesini feshedebilir.<\/p>\n<p>Hangi taraf\u0131n feshetti\u011fine bak\u0131lmaks\u0131z\u0131n bildirim s\u00fcresi i\u00e7erisinde \u0130\u015f Kanunu\u2019nun 27\u2019nci maddesi uyar\u0131nca i\u015f\u00e7iye yeni i\u015f arama izin hakk\u0131 tan\u0131nm\u0131\u015ft\u0131r.<\/p>\n<p>Bildirim s\u00fcresi i\u00e7erisinde i\u015f s\u00f6zle\u015fmesi sonu\u00e7 do\u011furmaya devam eder. Ba\u015fka bir deyi\u015fle, bildirim s\u00fcreleri i\u00e7inde i\u015f\u00e7i ve i\u015fveren s\u00f6zle\u015fmeden do\u011fan bor\u00e7lar\u0131n\u0131 ifa ile y\u00fck\u00fcml\u00fcd\u00fcrler. Ancak usul\u00fcne uygun bir s\u00fcreli fesih ile i\u015f s\u00f6zle\u015fmesi, bildirim s\u00fcresinin dolmas\u0131yla ya da i\u015fverenin bildirim s\u00fcresine ait \u00fccreti pe\u015fin vermek suretiyle sona erer.<\/p>\n<p>Kanunda ya da s\u00f6zle\u015fmede \u00f6ng\u00f6r\u00fclen bildirim s\u00fcrelerine uymaks\u0131z\u0131n i\u015f s\u00f6zle\u015fmesinin feshedilmesi h\u00e2linde bu \u015farta uymayan taraf, bildirim s\u00fcresine ili\u015fkin \u00fccret tutar\u0131nda ihbar tazminat\u0131 \u00f6demek zorundad\u0131r.<\/p>\n<p>\u0130\u015fverenin bildirim \u015fart\u0131na uymamas\u0131 veya bildirim s\u00fcresine ait \u00fccreti pe\u015fin \u00f6deyerek s\u00f6zle\u015fmeyi feshetmesi, i\u015f g\u00fcvencesi kapsam\u0131nda kalan i\u015f\u00e7inin, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 18, 19, 20 ve 21\u2019inci maddelerinden yararlanmas\u0131na engel de\u011fildir. Ancak i\u015f g\u00fcvencesi kapsam\u0131nda olmayan i\u015f\u00e7ilerin i\u015f s\u00f6zle\u015fmesinin fesih hakk\u0131n\u0131n k\u00f6t\u00fcye kullan\u0131larak sona erdirildi\u011fi durumlarda, i\u015f\u00e7iye bildirim s\u00fcresinin \u00fc\u00e7 kat\u0131 tutar\u0131nda k\u00f6t\u00fc niyet tazminat\u0131 \u00f6denir.<\/p>\n<p><strong>3. \u0130\u015f G\u00fcvencesi<\/strong><\/p>\n<p>\u0130\u015f\u00e7inin gelece\u011fine g\u00fcven duymas\u0131, s\u00fcrekli olarak i\u015fini kaybetme ve dolay\u0131s\u0131yla kendisinin ve ailesinin ge\u00e7im kayna\u011f\u0131n\u0131 olu\u015fturan \u00fccretinden yoksun kalma endi\u015fesinin d\u0131\u015f\u0131nda tutulmas\u0131, modem i\u015f hukukunun en temel ama\u00e7lar\u0131 aras\u0131nda yer al\u0131r. Belirsiz s\u00fcreli i\u015f s\u00f6zle\u015fmelerinde s\u00fcreli fesih hakk\u0131n\u0131n i\u015fveren taraf\u0131ndan hakk\u0131n k\u00f6t\u00fcye kullan\u0131lmas\u0131 d\u0131\u015f\u0131nda herhangi bir s\u0131n\u0131ra ba\u011fl\u0131 olmaks\u0131z\u0131n kullan\u0131labilmesi i\u015f\u00e7ileri i\u015flerinin s\u00fcreklili\u011fi konusunda b\u00fcy\u00fck bir g\u00fcvensizlikle kar\u015f\u0131 kar\u015f\u0131ya b\u0131rak\u0131r (S\u00fczek, S.; \u0130\u015f Hukuku, 16. Bask\u0131, Ankara, 2018, s.550). Bu noktadan hareketle i\u015f g\u00fcvencesinin amac\u0131, i\u015fverenin i\u015f s\u00f6zle\u015fmesini, me\u015fru ve makul g\u00f6r\u00fclebilecek bir neden olmaks\u0131z\u0131n keyfi olarak sona erdirmesinin engellenmesi ve dolay\u0131s\u0131yla i\u015f ili\u015fkilerinde s\u00fcreklili\u011fin sa\u011flanmas\u0131d\u0131r.<\/p>\n<p>\u0130\u015f g\u00fcvencesi, i\u015f\u00e7inin i\u015ften \u00e7\u0131kart\u0131lamayaca\u011f\u0131 anlam\u0131 ta\u015f\u0131maz. \u0130\u015f Kanunu\u2019nda belirtilen ge\u00e7erli ya da hakl\u0131 fesih nedenlerinin bulunmas\u0131 h\u00e2linde i\u015f\u00e7i, i\u015ften \u00e7\u0131kar\u0131labilecektir. Art\u0131k, b\u00f6yle bir durumda i\u015fverenin, fesih s\u0131ras\u0131nda keyfi hareket etti\u011finden s\u00f6z edilemez. Anayasa<\/strong><\/p>\n<p>\u00c7al\u0131\u015fma hakk\u0131 ve \u00f6devini d\u00fczenleyen 1982 Anayasas\u0131\u2019n\u0131n 49\u2019uncu maddesi, \u201c\u00c7al\u0131\u015fma, herkesin hakk\u0131 ve \u00f6devidir. Devlet, \u00e7al\u0131\u015fanlar\u0131n hayat seviyesini y\u00fckseltmek, \u00e7al\u0131\u015fma hayat\u0131n\u0131 geli\u015ftirmek i\u00e7in \u00e7al\u0131\u015fanlar\u0131 ve i\u015fsizleri korumak, \u00e7al\u0131\u015fmay\u0131 desteklemek, i\u015fsizli\u011fi \u00f6nlemeye elveri\u015fli ekonomik bir ortam yaratmak ve \u00e7al\u0131\u015fma bar\u0131\u015f\u0131n\u0131 sa\u011flamak i\u00e7in gerekli tedbirleri al\u0131r.\u201d \u015feklinde olup, an\u0131lan madde, i\u015f g\u00fcvencesine ili\u015fkin en \u00f6nemli anayasal dayana\u011f\u0131 olu\u015fturmaktad\u0131r.<\/p>\n<p>\u00c7al\u0131\u015fma hakk\u0131n\u0131n ya\u015fama ge\u00e7irilmesi, i\u015f g\u00fcvencesini tan\u0131maktan ve sa\u011flamaktan ge\u00e7er. Bu anlamda madde metninde \u201ci\u015f g\u00fcvencesi\u201d s\u00f6zc\u00fcklerine yer verilmemi\u015f olmas\u0131na kar\u015f\u0131n; \u00e7al\u0131\u015fma hakk\u0131na i\u015flerlik kazand\u0131r\u0131lmas\u0131, kurallar\u0131na uygun olarak \u00e7al\u0131\u015ft\u0131klar\u0131 s\u00fcrece, i\u015f\u00e7ilere i\u015f g\u00fcvencesinin sa\u011flanmas\u0131n\u0131 i\u00e7erir. Buna g\u00f6re, i\u015f g\u00fcvencesi h\u00fck\u00fcmlerini, anayasal g\u00fcvence alt\u0131ndaki \u00e7al\u0131\u015fma hakk\u0131ndan (AY m.49\/1) ayr\u0131 d\u00fc\u015f\u00fcnme olana\u011f\u0131 yoktur.
