font-size: xx-small;\">\u00a0(1) Bu Tebli\u011fin amac\u0131, gayrimenkul sertifikalar\u0131n\u0131n niteliklerini belirlemek ve ihrac\u0131nda uyulmas\u0131 gereken esaslar\u0131 d\u00fczenlemektir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Dayanak<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 2 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Bu Tebli\u011f\u00a06\/12\/2012\u00a0tarihli ve\u00a0<\/span><span style=\"font-family: Verdana; font-size: small;\"><a href=\"http:\/\/www.alomaliye.com\/2012\/6362-sayili-kanun-sermaye-piyasasi-kanunu.htm\"><span style=\"text-decoration: underline;\">6362 say\u0131l\u0131 Sermaye Piyasas\u0131 Kanununun<\/span><\/a><\/span><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0128 inci maddesinin birinci f\u0131kras\u0131n\u0131n (e) bendi ile 130 uncu maddesinin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131na dayan\u0131larak haz\u0131rlanm\u0131\u015ft\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Tan\u0131mlar ve k\u0131saltmalar<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 3 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Bu Tebli\u011fde ge\u00e7en;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Arsa sahibi: Gayrimenkul projesine konu arsan\u0131n m\u00fclkiyetine sahip olan ger\u00e7ek veya t\u00fczel ki\u015fileri,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Asli edim: Asli edim ifa s\u00fcresi i\u00e7erisinde\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirlenen esaslar \u00e7er\u00e7evesinde, ihra\u00e7\u00e7\u0131 taraf\u0131ndan gayrimenkul sertifikas\u0131 sahipleri ad\u0131na m\u00fclkiyetin tesis edilmesi ve ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm\u00fcn teslim edilmesini,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) Asli edim ifa s\u00fcresi:\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde asli edimin yerine getirilmesi i\u00e7in \u00f6ng\u00f6r\u00fclen s\u00fcreyi,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">\u00e7) Asli edim kullan\u0131m s\u00fcresi:\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde gayrimenkul sertifikas\u0131 sahiplerinin asli edim talebini bildirmesi i\u00e7in \u00f6ng\u00f6r\u00fclen s\u00fcreyi,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">d) Ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm:\u00a023\/6\/1965\u00a0tarihli ve\u00a0<\/span><span style=\"font-family: Verdana; font-size: small;\"><a href=\"http:\/\/www.mevzuat.gov.tr\/MevzuatMetin\/1.5.634.doc\"><span style=\"text-decoration: underline;\">634 say\u0131l\u0131 Kat M\u00fclkiyeti Kanununda<\/span><\/a><\/span><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0tan\u0131mlanan ana gayrimenkul\u00fcn ayr\u0131ayr\u0131\u00a0ve ba\u015fl\u0131 ba\u015f\u0131na kullan\u0131lmaya elveri\u015fli ve Kat M\u00fclkiyeti Kanunu h\u00fck\u00fcmlerine g\u00f6re ba\u011f\u0131ms\u0131z m\u00fclkiyete konu olan b\u00f6l\u00fcmlerini,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">e) Banka:\u00a019\/10\/2005\u00a0tarihli ve\u00a0<\/span><span style=\"font-family: Verdana; font-size: small;\"><a href=\"http:\/\/www.mevzuat.gov.tr\/MevzuatMetin\/1.5.5411.doc\"><span style=\"text-decoration: underline;\">5411 say\u0131l\u0131 Bankac\u0131l\u0131k Kanununda<\/span><\/a><\/span><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0tan\u0131mlanan bankalar\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">f) Borsa: Kanunun 3 \u00fcnc\u00fc maddesinin birinci f\u0131kras\u0131n\u0131n (\u00e7) bendinde tan\u0131mlanan borsay\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">g) Cezai \u015fart: Edimlerin ilgili ifa s\u00fcreleri i\u00e7erisinde ve\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen esaslar \u00e7er\u00e7evesinde yerine getirilememesi durumunda ihra\u00e7\u00e7\u0131 i\u00e7in edimlere ek olarak \u00f6ng\u00f6r\u00fclen y\u00fck\u00fcml\u00fcl\u00fckleri,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">i) Gayrimenkul sertifikas\u0131: \u0130hra\u00e7\u00e7\u0131lar\u0131n in\u015fa edilecek veya edilmekte olan gayrimenkul projelerinin finansman\u0131nda kullan\u0131lmak \u00fczere ihra\u00e7 ettikleri, gayrimenkul projesinin belirli ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerini veya ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin belirli bir alan birimini temsil eden\u00a0nominal\u00a0de\u011feri e\u015fit menkul k\u0131ymeti,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">j) \u0130hra\u00e7: Gayrimenkul sertifikalar\u0131n\u0131n ihra\u00e7\u00e7\u0131lar taraf\u0131ndan \u00e7\u0131kar\u0131l\u0131p, halka arz edilerek veya halka arz edilmeksizin sat\u0131\u015f\u0131n\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">k) \u0130hra\u00e7\u00e7\u0131: Gayrimenkul sertifikas\u0131 ihra\u00e7 eden veya ihra\u00e7 etmek \u00fczere Kurula ba\u015fvuruda bulunan anonim ortakl\u0131klar ile kendi mevzuatlar\u0131 uyar\u0131nca menkul k\u0131ymet ihra\u00e7 etmeye yetkili kamu kurum ve kurulu\u015flar\u0131n\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">l) \u0130tfa bedeli: Banka garantili ihra\u00e7larda gayrimenkul sertifikalar\u0131n\u0131n ihra\u00e7 de\u011ferinden a\u015fa\u011f\u0131 olmamak kayd\u0131yla proje biti\u015f tarihinde hesaplanan alan birimi sat\u0131\u015f fiyat\u0131na g\u00f6re belirlenen gayrimenkul sertifikas\u0131 fiyat\u0131n\u0131,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">m) Kanun:\u00a06\/12\/2012\u00a0tarihli ve 6362 say\u0131l\u0131 Sermaye Piyasas\u0131 Kanununu,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">n) Kurul: Sermaye Piyasas\u0131 Kurulunu,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">o) MKK: Merkezi Kay\u0131t Kurulu\u015fu Anonim \u015eirketini,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">\u00f6) Proje biti\u015f tarihi: Gayrimenkul projesinin ihraca konu edilen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerinin\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen vas\u0131flara uygun bir bi\u00e7imde tamamlanmas\u0131 i\u00e7in \u00f6ng\u00f6r\u00fclen s\u00fcreyi,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">p) Tali edim: Tali edim ifa s\u00fcresi i\u00e7erisinde\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirlenen esaslar \u00e7er\u00e7evesinde tali edime konu gayrimenkul sertifikalar\u0131na kar\u015f\u0131l\u0131k gelen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin sat\u0131lmas\u0131 ve sat\u0131\u015f tutar\u0131n\u0131n gayrimenkul sertifikas\u0131 sahiplerine paylar\u0131 ile orant\u0131l\u0131 olarak da\u011f\u0131t\u0131lmas\u0131n\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">r) Tali edim ifa s\u00fcresi:\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde tali edimin yerine getirilmesi i\u00e7in \u00f6ng\u00f6r\u00fclen s\u00fcreyi,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">s) TOK\u0130: Toplu Konut \u0130daresi Ba\u015fkanl\u0131\u011f\u0131n\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">\u015f) TTSG: T\u00fcrkiye Ticaret Sicili Gazetesini,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">t) Vade:\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde gayrimenkul sertifikas\u0131n\u0131n ihra\u00e7 tarihinden, bu gayrimenkul sertifikalar\u0131na ili\u015fkin ifa s\u00fcrelerinin bitimine kadar ge\u00e7mesi \u00f6ng\u00f6r\u00fclen s\u00fcreyi,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">u) Yat\u0131r\u0131mc\u0131: Gayrimenkul sertifikas\u0131 sahibini,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">\u00fc) Yetkili Kurulu\u015f: Tebli\u011fin 4 \u00fcnc\u00fc maddesinin yedinci f\u0131kras\u0131nda belirlenmi\u015f olan yat\u0131r\u0131m kurulu\u015flar\u0131n\u0131,<\/span><\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">ifade\u00a0eder.<\/span><\/p>\n<p align=\"center\"><span style=\"font-family: Verdana; font-size: xx-small;\"><b>\u0130K\u0130NC\u0130 B\u00d6L\u00dcM<\/b><\/span><\/p>\n<p align=\"center\"><span style=\"font-family: Verdana; font-size: xx-small;\"><b>Gayrimenkul Sertifikas\u0131 ve \u0130hrac\u0131na \u0130li\u015fkin Esaslar<\/b><\/span><\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Gayrimenkul sertifikalar\u0131na ili\u015fkin genel esaslar<\/span><\/strong><\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 4 \u2013\u00a0<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">(1) Gayrimenkul sertifikalar\u0131, bir gayrimenkul projesinin belirli ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerini veya ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlere ili\u015fkin belirli bir alan birimini temsilen a\u015fa\u011f\u0131daki esaslar \u00e7er\u00e7evesinde ihra\u00e7 edilebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Gayrimenkul projesinin belirli ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerini temsilen ger\u00e7ekle\u015ftirilen ihra\u00e7larda, her bir ba\u011f\u0131ms\u0131z b\u00f6l\u00fcme kar\u015f\u0131l\u0131k gelen gayrimenkul sertifikas\u0131 adedinin ihra\u00e7 \u00f6ncesinde belirlenmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Gayrimenkul projesinin ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerine ili\u015fkin belirli bir alan birimini temsilen ger\u00e7ekle\u015ftirilecek ihra\u00e7larda ise, ihra\u00e7\u00e7\u0131 taraf\u0131ndan asli edimin yerine getirilmesi s\u0131ras\u0131nda ayn\u0131 alan birimine sahip ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmler aras\u0131nda blok, kat, cephe ve malzeme farkl\u0131l\u0131klar\u0131 gibi nedenlerle \u015ferefiye talep edilebilir. \u015eerefiye talep edilmesi durumunda, asli edim s\u0131ras\u0131nda yat\u0131r\u0131mc\u0131lardan talep edilecek \u015ferefiye tutarlar\u0131n\u0131n veya ihra\u00e7 an\u0131nda belirlenmi\u015f \u015ferefiyenin edim yerine getirilirken hangi esaslara g\u00f6re d\u00fczeltilerek uygulanaca\u011f\u0131n\u0131n, ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerle ili\u015fkilendirilerek\u00a0izahname\u00a0veya ihra\u00e7 belgesinde a\u00e7\u0131klanmas\u0131 zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) Gayrimenkul sertifikas\u0131 ihrac\u0131na konu edilen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmler \u00fczerinde edimlerin yerine getirilmesini engelleyecek nitelikte ayni veya \u015fahsi bir hak, haciz kayd\u0131 ile gayrimenkul projesinin esasl\u0131 unsurlar\u0131na y\u00f6nelik herhangi bir ihtilaf\u0131n bulunmamas\u0131 gerekmektedir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Gayrimenkul sertifikas\u0131 ihra\u00e7 tutar\u0131, gayrimenkul projesindeki t\u00fcm ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin Tebli\u011fin 6\u00a0nc\u0131\u00a0maddesi \u00e7er\u00e7evesinde haz\u0131rlanm\u0131\u015f de\u011ferleme raporuna g\u00f6re belirlenmi\u015f sat\u0131\u015f de\u011ferlerinin y\u00fczde ellisini a\u015famaz. \u0130hra\u00e7 i\u015flemine konut ve ticari alanlar\u0131n ayn\u0131 anda\u00a0dahil\u00a0edilmesi durumunda bu y\u00fczde elli oran\u0131ndaki s\u0131n\u0131r ihra\u00e7 kapsam\u0131ndaki konut ve ticari alanlar i\u00e7in ayr\u0131\u00a0ayr\u0131\u00a0hesaplan\u0131r. Banka garantili ihra\u00e7larda bu s\u0131n\u0131rlama uygulanmaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) Gayrimenkul sertifikas\u0131 ihrac\u0131na konu ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen proje biti\u015f tarihinden \u00f6nce tamamlanmas\u0131 ve bu durumun proje biti\u015f tarihinden en az 15 g\u00fcn \u00f6nce kamuya a\u00e7\u0131klanmas\u0131 halinde, kamuya a\u00e7\u0131klanan yeni tarih, proje biti\u015f tarihi olarak esas al\u0131n\u0131r. Bu durumda yat\u0131r\u0131mc\u0131lara gerekli duyurular\u0131n yap\u0131lmas\u0131 \u015fart\u0131yla\u00a0izahname\u00a0veya ihra\u00e7 belgesi de\u011fi\u015fikli\u011fi gerekmez. Kanunun 8 inci maddesi h\u00fck\u00fcmleri sakl\u0131d\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) Gayrimenkul sertifikalar\u0131 yurt d\u0131\u015f\u0131nda veya yurt i\u00e7inde halka arz edilerek veya halka arz edilmeksizin nitelikli yat\u0131r\u0131mc\u0131ya sat\u0131\u015f suretiyle ihra\u00e7 edilebilir. Banka garantili ihra\u00e7larda gayrimenkul sertifikalar\u0131 a\u015fa\u011f\u0131daki durumlarda itfa bedelinin ve olu\u015fmas\u0131 halinde cezai \u015fart\u0131n yat\u0131r\u0131mc\u0131ya \u00f6denmesi suretiyle de itfa edilebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Asli edimin\u00a0izahname\u00a0veya ihra\u00e7 belgesinde \u00f6ng\u00f6r\u00fclen esaslar \u00e7er\u00e7evesinde yerine getirilememesi.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Tali edimin Tebli\u011fin 8 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131n\u0131n (\u00e7) bendinde belirtilen ihale s\u00fcreci sonunda yerine getirilememesi.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c)\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde tali edim i\u00e7in Tebli\u011fin 8 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131n\u0131n (\u00e7) bendinde belirtilen ihale s\u00fcrecinin yap\u0131lmamas\u0131n\u0131n \u00f6ng\u00f6r\u00fclmesi.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(7) Gayrimenkul sertifikalar\u0131n\u0131n ihrac\u0131n\u0131n ve itfas\u0131n\u0131n Kanunun 37\u00a0nci\u00a0maddesinin birinci f\u0131kras\u0131n\u0131n (e) bendinde belirtilen yat\u0131r\u0131m hizmet ve faaliyetinde bulunabilecek bankalar ile\u00a0portf\u00f6y\u00a0arac\u0131l\u0131\u011f\u0131, genel saklama hizmeti veya arac\u0131l\u0131k y\u00fcklenimi faaliyetinden herhangi birini y\u00fcr\u00fctecek olan arac\u0131 kurumlar vas\u0131tas\u0131yla yerine getirilmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(8) \u0130hra\u00e7\u00e7\u0131 taraf\u0131ndan \u00f6ng\u00f6r\u00fclmesi halinde gayrimenkul sertifikalar\u0131, proje biti\u015f tarihinden \u00f6nce ihra\u00e7\u00e7\u0131n\u0131n belirledi\u011fi tutar veya borsada olu\u015fan fiyat \u00fczerinden geri al\u0131nmak suretiyle de itfa edilebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(9) Edimlerin ilgili ifa s\u00fcreleri i\u00e7erisinde ve\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen esaslar \u00e7er\u00e7evesinde yerine getirilememesi durumunda yat\u0131r\u0131mc\u0131lara ihra\u00e7 a\u015famas\u0131nda belirlenen cezai \u015fart\u0131n \u00f6denmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(10) Kurul itfa bedelinin ve olu\u015fabilecek cezai \u015fart\u0131n yat\u0131r\u0131mc\u0131lara \u00f6denmesinin bir banka taraf\u0131ndan garanti alt\u0131na al\u0131nmas\u0131n\u0131, yurt i\u00e7inde sat\u0131\u015f\u0131n yaln\u0131zca nitelikli yat\u0131r\u0131mc\u0131lara y\u00f6nelik olarak yap\u0131lmas\u0131n\u0131, ihra\u00e7\u00e7\u0131n\u0131n veya gayrimenkul sertifikalar\u0131n\u0131n derecelendirilmesini talep edebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Arsa sahibi ve ihra\u00e7\u00e7\u0131ya ili\u015fkin esaslar<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 5 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Gayrimenkul sertifikas\u0131 ihra\u00e7 etmek isteyen ihra\u00e7\u00e7\u0131lar\u0131n;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Gayrimenkul projesinin sat\u0131\u015f de\u011ferinin en az yar\u0131s\u0131 b\u00fcy\u00fckl\u00fc\u011f\u00fcnde sat\u0131\u015f de\u011ferine sahip bir projeyi, s\u00f6zle\u015fmesi ve teknik \u015fartnamelerine uygun olarak Kurula ba\u015fvuru tarihinden \u00f6nceki 5 y\u0131l i\u00e7erisinde tamamlam\u0131\u015f veya ihra\u00e7\u00e7\u0131n\u0131n gayrimenkul yat\u0131r\u0131m ortakl\u0131\u011f\u0131 olmas\u0131 durumunda ayn\u0131 \u015fartlardaki bir projeyi tamamlatm\u0131\u015f olmas\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Gayrimenkul projesinin ger\u00e7ekle\u015ftirilece\u011fi arsan\u0131n m\u00fclkiyetine m\u00fcnferiden sahip olmas\u0131 ve arsa tapusunun kat irtifak\u0131 tapusuna \u00e7evrilmesi veya arsa \u00fczerinde ihra\u00e7\u00e7\u0131 lehine kat irtifak\u0131 tesis edilmi\u015f olmas\u0131,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) \u0130hra\u00e7\u00e7\u0131n\u0131n gayrimenkul sertifikas\u0131 ihra\u00e7 etmek amac\u0131yla kurulmu\u015f bir anonim ortakl\u0131k olmas\u0131 durumunda birinci f\u0131kran\u0131n (a) bendindeki \u015fart\u0131n, ihra\u00e7\u00e7\u0131n\u0131n Kurulun ilgili d\u00fczenlemelerine g\u00f6re y\u00f6netim kontrol\u00fcne sahip olan orta\u011f\u0131 veya m\u00fc\u015ftereken sahip olan ortaklar\u0131ndan en az birisi taraf\u0131ndan kar\u015f\u0131lanmas\u0131 gerekmektedir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) TOK\u0130, \u0130ller Bankas\u0131 Anonim \u015eirketi veya bunlar\u0131n ba\u011fl\u0131 ortakl\u0131klar\u0131n\u0131n ihra\u00e7\u00e7\u0131 olmas\u0131 durumunda;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Birinci f\u0131kran\u0131n (a) bendinde belirtilen \u015fart aranmaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Yat\u0131r\u0131mc\u0131lar\u0131n, ayn\u0131 projeden do\u011frudan konut edinen ki\u015filer ile e\u015fit haklara sahip olaca\u011f\u0131na ili\u015fkin gerekli s\u00f6zle\u015fme veya d\u00fczenlemelerin yap\u0131lmas\u0131 veya Kurulca kabul edilebilecek di\u011fer tedbirlerin al\u0131nmas\u0131 zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) Talep edilmesi halinde Kurulca Tebli\u011fde aranan di\u011fer \u015fartlardan muafiyet verilebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) TOK\u0130, \u0130ller Bankas\u0131 Anonim \u015eirketi ve bunlar\u0131n ba\u011fl\u0131 ortakl\u0131klar\u0131n\u0131n ihra\u00e7\u00e7\u0131 olmad\u0131\u011f\u0131 ancak tamamen veya k\u0131smen sahip oldu\u011fu arsa ve arazilerin gayrimenkul projesine konu edildi\u011fi ihra\u00e7larda;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Birinci f\u0131kran\u0131n (b) bendindeki \u015fart aranmaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) TOK\u0130, \u0130ller Bankas\u0131 Anonim \u015eirketi veya bunlar\u0131n ba\u011fl\u0131 ortakl\u0131klar\u0131 ile ihra\u00e7\u00e7\u0131 aras\u0131nda yap\u0131lacak s\u00f6zle\u015fmelerde, yat\u0131r\u0131mc\u0131lar\u0131n, ayn\u0131 projeden do\u011frudan konut edinen ki\u015filer ile e\u015fit haklara sahip olaca\u011f\u0131na ili\u015fkin h\u00fck\u00fcmlere yer verilmesi veya Kurulca kabul edilebilecek di\u011fer tedbirlerin al\u0131nmas\u0131 zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) \u0130hra\u00e7\u00e7\u0131n\u0131n gayrimenkul projesinin ihraca konu edilen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerini tamamlayamamas\u0131 durumunda bu b\u00f6l\u00fcmler TOK\u0130, \u0130ller Bankas\u0131 Anonim \u015eirketi veya bunlar\u0131n ba\u011fl\u0131 ortakl\u0131klar\u0131n\u0131n projenin tamamlanmas\u0131 i\u00e7in imzalad\u0131klar\u0131 s\u00f6zle\u015fmedeki esaslara g\u00f6re tamamlan\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">De\u011ferleme, fizibilite ve in\u015faat ilerleme raporlar\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 6 \u2013\u00a0<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">(1) Kurula ba\u015fvuru ve proje biti\u015f tarihleri ile Tebli\u011fde belirtilen durumlarda veya Kurulca uygun g\u00f6r\u00fclecek di\u011fer a\u015famalarda, de\u011ferleme kurulu\u015flar\u0131nca gayrimenkul projesine ili\u015fkin olarak bir de\u011ferleme raporu haz\u0131rlan\u0131r. Kurulun ilgili d\u00fczenlemeleri uyar\u0131nca haz\u0131rlanacak bu raporda gayrimenkul sertifikalar\u0131na konu edilen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tahmini sat\u0131\u015f bedeli ile bu bedelin belirlenmesinde esas al\u0131nan emsal de\u011ferlere ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerle ili\u015fkilendirilmek suretiyle yer verilmesi zorunludur. De\u011ferleme raporunda gayrimenkul projesindeki emsal sat\u0131\u015f bedellerine yer verilmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Edimlerin ilgili ifa s\u00fcreleri i\u00e7erisinde yerine getirilemeyece\u011finin anla\u015f\u0131lmas\u0131 durumunda veya Kurulca uygun g\u00f6r\u00fclecek di\u011fer a\u015famalarda, de\u011ferleme kurulu\u015flar\u0131 taraf\u0131ndan projeye ili\u015fkin olarak bir fizibilite raporu haz\u0131rlan\u0131r. Bu raporda asgari olarak, projenin mevcut tamamlanma d\u00fczeyi ile bitirilmesi i\u00e7in gerekli olan s\u00fcre ve tahmini maliyet hakk\u0131nda bilgi verilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) \u0130hra\u00e7tan elde edilen fonlar\u0131n in\u015faat ilerleme esas\u0131na g\u00f6re ihra\u00e7\u00e7\u0131ya aktar\u0131labilmesini\u00a0teminen\u00a0de\u011ferleme kurulu\u015flar\u0131 taraf\u0131ndan in\u015faat ilerleme raporlar\u0131 d\u00fczenlenir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) Tebli\u011fin 5 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc ve d\u00f6rd\u00fcnc\u00fc f\u0131kralar\u0131 kapsam\u0131nda yap\u0131lan ihra\u00e7larda, bu maddenin ikinci ve \u00fc\u00e7\u00fcnc\u00fc f\u0131kralar\u0131nda say\u0131lan raporlar de\u011ferleme kurulu\u015flar\u0131 yerine ba\u015fka kurumlarca haz\u0131rlanabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Asli edimlerin kullan\u0131lmas\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 7 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Yat\u0131r\u0131mc\u0131lar asli edim kullan\u0131m s\u00fcresi i\u00e7erisinde, asli edim taleplerini ihra\u00e7\u00e7\u0131ya veya yetkili kurulu\u015fa iletir. Asli edim kullan\u0131m s\u00fcresi, ilk g\u00fcn\u00fc gayrimenkul sertifikas\u0131n\u0131n borsada i\u015flem g\u00f6rme tarihinden \u00f6nce olmamak \u00fczere asgari olarak proje biti\u015f tarihinden \u00f6nceki 10 i\u015f g\u00fcn\u00fc olarak ihra\u00e7\u00e7\u0131 taraf\u0131ndan belirlenir. \u0130hra\u00e7\u00e7\u0131 ayr\u0131ca, proje biti\u015f tarihinden \u00f6nce belirleyece\u011fi di\u011fer tarihleri de\u00a0izahname\u00a0veya ihra\u00e7 belgesinde a\u00e7\u0131klamak suretiyle, asli edim kullan\u0131m s\u00fcresine\u00a0dahil\u00a0edebilir. Tebli\u011fin 8 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131n\u0131n (b) bendi h\u00fckm\u00fc sakl\u0131d\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Asli edim talep eden yat\u0131r\u0131mc\u0131lar, asli edim ifa s\u00fcresi i\u00e7erisinde almak istedikleri ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin gerektirdi\u011fi say\u0131da gayrimenkul sertifikas\u0131n\u0131 ihra\u00e7\u00e7\u0131n\u0131n hesaplar\u0131na aktarmak ve gerekli olmas\u0131 durumunda \u015ferefiyeyi \u00f6demek; ihra\u00e7\u00e7\u0131 ise\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirlenen esaslar \u00e7er\u00e7evesinde yat\u0131r\u0131mc\u0131 ad\u0131na ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin m\u00fclkiyetinin devrine ili\u015fkin hukuki i\u015flemleri tamamlamak zorundad\u0131r. \u0130hra\u00e7\u00e7\u0131, birden fazla yat\u0131r\u0131mc\u0131n\u0131n ayn\u0131 ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm\u00fc talep etmesi durumunda hangi yat\u0131r\u0131mc\u0131ya \u00f6ncelik verilece\u011fini\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirler. B\u00f6yle bir belirlemenin yap\u0131lmam\u0131\u015f olmas\u0131 durumunda zaman \u00f6nceli\u011fi esas al\u0131n\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) Birden fazla yat\u0131r\u0131mc\u0131 payl\u0131 m\u00fclkiyet esaslar\u0131 \u00e7er\u00e7evesinde asli edimin yerine getirilmesini talep edebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) Asli edimin yerine getirilebilmesi i\u00e7in ihra\u00e7\u00e7\u0131 hesaplar\u0131na aktar\u0131lan gayrimenkul sertifikalar\u0131 \u00fczerinde herhangi bir haciz, rehin hakk\u0131 veya benzeri k\u0131s\u0131tlay\u0131c\u0131 haklar\u0131n bulunmamas\u0131 gerekir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(5) Asli edim ifa s\u00fcresi, asli edim kullan\u0131m s\u00fcresinin bitimini izleyen 10 i\u015f g\u00fcn\u00fcn\u00fc a\u015fmayacak \u015fekilde belirlenir. \u0130hra\u00e7\u00e7\u0131n\u0131n asli edim kullan\u0131m s\u00fcresine\u00a0dahil\u00a0etti\u011fi proje biti\u015f tarihinden \u00f6nceki kullan\u0131m s\u00fcreleri i\u00e7in\u00a0izahname\u00a0veya ihra\u00e7 belgesinde a\u00e7\u0131klanmak ko\u015fuluyla farkl\u0131 ifa s\u00fcreleri belirlenebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(6) Asli edimin,\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirlenen asli edim ifa s\u00fcresi \u00e7er\u00e7evesinde proje biti\u015f tarihinden \u00f6nce talep edilmesi durumunda;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm\u00fcn tapuda devir i\u015flemi yap\u0131l\u0131r veya ihra\u00e7\u00e7\u0131 ile yat\u0131r\u0131mc\u0131lar aras\u0131nda asli edimin yerine getirilmesi amac\u0131yla gayrimenkul sat\u0131\u015f vaadi s\u00f6zle\u015fmesi imzalan\u0131r ve bu s\u00f6zle\u015fmeden do\u011fan hak tapu k\u00fct\u00fc\u011f\u00fcne \u015ferh edilir. Tebli\u011fin 5 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc ve d\u00f6rd\u00fcnc\u00fc f\u0131kralar\u0131 kapsam\u0131nda yap\u0131lan ihra\u00e7larda, bu f\u0131krada belirtilen tapu k\u00fct\u00fc\u011f\u00fcne \u015ferh zorunlulu\u011fu aranmaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Gayrimenkul sat\u0131\u015f vaadi s\u00f6zle\u015fmesi d\u00fczenlenmesi halinde gayrimenkul sertifikalar\u0131 asli edim yerine getirilinceye veya itfa bedeli yat\u0131r\u0131mc\u0131ya \u00f6deninceye kadar yetkili kurulu\u015f nezdinde bloke edilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(7) Asli edimin,\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen esaslar \u00e7er\u00e7evesinde yerine getirilmemesi halinde Tebli\u011fin 9 uncu maddesi h\u00fck\u00fcmleri uygulan\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(8) Banka garantili ihra\u00e7larda asli edimin\u00a0izahname\u00a0veya ihra\u00e7 belgesinde \u00f6ng\u00f6r\u00fclen esaslar \u00e7er\u00e7evesinde yerine getirilemeyece\u011finin anla\u015f\u0131lmas\u0131 halinde;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Tebli\u011fin 9 uncu maddesinin birinci f\u0131kras\u0131 h\u00fck\u00fcmleri uygulan\u0131r. Verilen ek s\u00fcre veya asli edim ifa s\u00fcresi sonunda asli edimin yerine getirilememesi durumunda ek s\u00fcre veya asli edim ifa s\u00fcresinin bitimini takip eden 10 i\u015f g\u00fcn\u00fc i\u00e7erisinde varsa cezai \u015fart ile birlikte itfa bedeli \u00f6denir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) \u00d6nceden asli edim talebinde bulunmu\u015f olan yat\u0131r\u0131mc\u0131lar\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirlenen s\u00fcre i\u00e7erisinde asli edim yerine itfa bedelinin \u00f6denmesini talep edebilirler. Bu durumda s\u00f6z konusu yat\u0131r\u0131mc\u0131lara asli edim ifa s\u00fcresinin bitimini takip eden 10 i\u015f g\u00fcn\u00fc i\u00e7erisinde varsa cezai \u015fart ile birlikte itfa bedeli \u00f6denir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(9) Tebli\u011fin 5 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc ve d\u00f6rd\u00fcnc\u00fc f\u0131kralar\u0131 \u00e7er\u00e7evesinde yap\u0131lan ihra\u00e7lar haricinde gayrimenkul sat\u0131\u015f vaadi s\u00f6zle\u015fmelerinde, m\u00fclkiyet devrinin gecikmesi veya ger\u00e7ekle\u015ftirilememesi durumlar\u0131na ili\u015fkin olarak, gayrimenkul sertifikalar\u0131na ili\u015fkin \u00f6ng\u00f6r\u00fclen cezai \u015fartlara yer verilmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(10) \u0130hra\u00e7\u00e7\u0131, elinde yeterli say\u0131da gayrimenkul sertifikas\u0131 bulunmamas\u0131na ra\u011fmen asli edimi kullanmak isteyen yat\u0131r\u0131mc\u0131lar i\u00e7in,\u00a0izahname\u00a0veya ihra\u00e7 belgesinde a\u00e7\u0131klanmak ko\u015fuluyla kredi kullan\u0131m veya nakit \u00f6deme\u00a0imkan\u0131sa\u011flayabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Tali edimlerin kullan\u0131lmas\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 8 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Asli edim kullan\u0131m s\u00fcresi i\u00e7erisinde asli edim talebiyle ba\u015fvurmayan veya ba\u015fvurmas\u0131na ra\u011fmenizahname\u00a0veya ihra\u00e7 belgesinde asli edimin yerine getirilmesi i\u00e7in \u00f6ng\u00f6r\u00fclen \u015fartlar\u0131 yerine getirmeyen yat\u0131r\u0131mc\u0131lar\u0131n, proje biti\u015f tarihi itibar\u0131yla tali edimi talep ettikleri kabul edilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) \u0130hra\u00e7\u00e7\u0131n\u0131n tali edime konu gayrimenkul sertifikalar\u0131na kar\u015f\u0131l\u0131k gelen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri satmak ve sat\u0131\u015f tutar\u0131n\u0131 yat\u0131r\u0131mc\u0131lara paylar\u0131 ile orant\u0131l\u0131 olarak da\u011f\u0131tmak suretiyle tali edimi yerine getirmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) Tali edimin yerine getirilmesinde a\u015fa\u011f\u0131daki esaslar uygulan\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Tali edim ifa s\u00fcresinin,\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen proje biti\u015f tarihini izleyen 120 g\u00fcn\u00fc a\u015fmayacak \u015fekilde belirlenmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) \u0130hra\u00e7\u00e7\u0131 taraf\u0131ndan\u00a0izahname\u00a0veya ihra\u00e7 belgesinde \u00f6ng\u00f6r\u00fclmesi ve esaslar\u0131n\u0131n a\u00e7\u0131k\u00e7a belirtilmesi \u015fart\u0131yla tali edimi talep etti\u011fi kabul edilen yat\u0131r\u0131mc\u0131lar tali edim ifa s\u00fcresi i\u00e7erisinde asli edimi talep edebilirler. Bu durumda yat\u0131r\u0131mc\u0131lar taraf\u0131ndan gayrimenkul\u00fcn ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri i\u00e7in verilmesi gereken sertifika say\u0131s\u0131, ihra\u00e7 \u00f6ncesi yay\u0131nlanan\u00a0izahnameveya ihra\u00e7 belgesinde ilgili ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm i\u00e7in \u00f6ng\u00f6r\u00fclen sertifika say\u0131s\u0131 ile ayn\u0131 olacak \u015fekilde belirlenir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) Tali edime konu gayrimenkul sertifikalar\u0131na kar\u015f\u0131l\u0131k gelen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin sat\u0131\u015f\u0131ndan elde edilen sat\u0131\u015f tutar\u0131, tali edim ifa s\u00fcresi boyunca tali edime konu ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tamam\u0131 sat\u0131l\u0131ncaya kadar vekilin \u00f6zen borcu \u00e7er\u00e7evesinde yetkili kurulu\u015f taraf\u0131ndan devlet tahvili, hazine bonosu, Hazine M\u00fcste\u015farl\u0131\u011f\u0131nca ihra\u00e7 edilen kira sertifikalar\u0131, mevduat veya kat\u0131l\u0131m hesab\u0131 olarak veya Kurulca uygun g\u00f6r\u00fclecek di\u011fer sermaye piyasas\u0131 ara\u00e7lar\u0131na yat\u0131r\u0131lmak suretiyle yat\u0131r\u0131mc\u0131lar ad\u0131na de\u011ferlendirilir ve ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin t\u00fcm\u00fcn\u00fcn sat\u0131\u015f\u0131n\u0131n tamamlanmas\u0131n\u0131 takip eden 2 i\u015f g\u00fcn\u00fc i\u00e7erisinde yat\u0131r\u0131mc\u0131lar\u0131n hesaplar\u0131na paylar\u0131 oran\u0131nda aktar\u0131l\u0131r.\u00a0Tebli\u011fin 5 inci maddesinin \u00fc\u00e7\u00fcnc\u00fc ve d\u00f6rd\u00fcnc\u00fc f\u0131kralar\u0131 kapsam\u0131nda yap\u0131lan ihra\u00e7larda, sat\u0131\u015f tutar\u0131 TOK\u0130, \u0130ller Bankas\u0131 Anonim \u015eirketi veya bunlar\u0131n ba\u011fl\u0131 ortakl\u0131klar\u0131 taraf\u0131ndan yat\u0131r\u0131mc\u0131lar ad\u0131na de\u011ferlendirilebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">\u00e7) Tali edimin yerine getirilmesi amac\u0131yla sat\u0131lacak olan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin, tali edim ifa s\u00fcresi i\u00e7erisinde nakde \u00e7evrilmesinde sat\u0131\u015flar en \u00e7ok 3 kez a\u00e7\u0131k art\u0131rma suretiyle yap\u0131l\u0131r ve bu a\u00e7\u0131k art\u0131rmalarda a\u015fa\u011f\u0131daki esaslar uygulan\u0131r:<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">1) En ge\u00e7 proje biti\u015f tarihini izleyen 30 g\u00fcn i\u00e7erisinde yap\u0131lacak olan birinci ihalede, Tebli\u011fin 6\u00a0nc\u0131\u00a0maddesi \u00e7er\u00e7evesinde haz\u0131rlanacak de\u011ferleme raporunda tespit edilen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm sat\u0131\u015f bedelleri, ihalede verilecek teklifler i\u00e7in asgari tutar olarak belirlenir. Bu asgari tutar, ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlere konu gayrimenkul sertifikalar\u0131n\u0131n ihra\u00e7 de\u011ferinden az olamaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">2) Birinci ihalede sat\u0131\u015fa sunulan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlere yeterli talep gelmemesi halinde, Tebli\u011fin 6\u00a0nc\u0131\u00a0maddesi \u00e7er\u00e7evesinde yeni de\u011ferleme raporu haz\u0131rlat\u0131larak ikinci kez ihaleye \u00e7\u0131k\u0131l\u0131r. \u0130kinci ihale, birinci ihalenin usul ve \u015fartlar\u0131na g\u00f6re yap\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">3) \u0130kinci ihalede ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tamam\u0131n\u0131n sat\u0131lamamas\u0131 halinde, kalan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin sat\u0131\u015f\u0131 i\u00e7in \u00fc\u00e7\u00fcnc\u00fc ihale d\u00fczenlenir. \u00dc\u00e7\u00fcnc\u00fc ihalede sat\u0131\u015fa sunulacak ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmler i\u00e7in asgari bedel tespit edilmez. \u0130halede ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmler en y\u00fcksek teklifi verene sat\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">4) \u00dc\u00e7\u00fcnc\u00fc ihaleden elde edilen sat\u0131\u015f geliri bu ihalede sat\u0131\u015fa sunulan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlere konu gayrimenkul sertifikalar\u0131n\u0131n ihra\u00e7 de\u011ferinden d\u00fc\u015f\u00fck ise veya hi\u00e7 sat\u0131\u015f geliri elde edilememi\u015f ise, aradaki fark ihra\u00e7\u00e7\u0131 taraf\u0131ndan 2 i\u015f g\u00fcn\u00fc i\u00e7erisinde \u00f6denir. Bu s\u00fcre her durumda tali edim ifa s\u00fcresini ge\u00e7emez.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">5) Halka arz yoluyla sat\u0131lan gayrimenkul sertifikas\u0131 ihra\u00e7lar\u0131nda ihale ilan\u0131, her bir ihale tarihinden en az 15 g\u00fcn \u00f6nce, ihra\u00e7\u00e7\u0131n\u0131n internet sitesinde ve\u00a0KAP\u2019ta\u00a0yay\u0131nlan\u0131r. Ayr\u0131ca ihale ilan\u0131 ve ilgili dok\u00fcmanlar\u0131n nerede yay\u0131nland\u0131\u011f\u0131 bilgisi T\u00fcrkiye \u00e7ap\u0131nda yay\u0131n yapan ve en y\u00fcksek\u00a0tirajl\u0131\u00a0be\u015f gazeteden ikisinde ilan edilir. Halka arz edilmeksizin nitelikli yat\u0131r\u0131mc\u0131lara sat\u0131lan gayrimenkul sertifikas\u0131 ihra\u00e7lar\u0131nda ihale ilan\u0131 ve ilgili dok\u00fcmanlar\u0131n nerede yay\u0131nland\u0131\u011f\u0131 bilgisi Tebli\u011fin 12\u00a0nci\u00a0maddesinin ikinci f\u0131kras\u0131 \u00e7er\u00e7evesinde yat\u0131r\u0131mc\u0131lara duyurulur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">6) Bu madde kapsam\u0131nda yap\u0131lan ihalelere ihra\u00e7\u00e7\u0131 ve ihra\u00e7\u00e7\u0131n\u0131n ili\u015fkili taraflar\u0131 kat\u0131lamaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) Banka garantili ihra\u00e7larda tali edimin;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) \u0130hale s\u00fcreci ger\u00e7ekle\u015ftirilerek yerine getirilmek istenmesi durumunda \u00fc\u00e7\u00fcnc\u00fc f\u0131kran\u0131n (\u00e7) bendinde ihra\u00e7 de\u011ferine yap\u0131lan at\u0131flar yerine itfa bedeli esas al\u0131n\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) \u0130hra\u00e7\u00e7\u0131n\u0131n\u00a0izahname\u00a0veya ihra\u00e7 belgesinde \u00f6ng\u00f6rmesi halinde ihale s\u00fcreci ger\u00e7ekle\u015ftirilmeksizin proje biti\u015f tarihini izleyen 10 i\u015f g\u00fcn\u00fc i\u00e7erisinde itfa bedelinin \u00f6denmesi suretiyle yerine getirilmek istenmesi durumunda bu maddenin ikinci ve \u00fc\u00e7\u00fcnc\u00fc f\u0131kralar\u0131 uygulanmaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(5)\u00a0\u0130zahname\u00a0veya ihra\u00e7 belgesinde belirtilmi\u015f olmas\u0131 kayd\u0131yla, ihra\u00e7\u00e7\u0131larca tali edim yerine getirilirken;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) \u00dc\u00e7\u00fcnc\u00fc f\u0131kran\u0131n (\u00e7) bendinde belirtilen ihra\u00e7 de\u011feri,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) D\u00f6rd\u00fcnc\u00fc f\u0131krada itfa bedelinin hesaplanmas\u0131na esas al\u0131nan ihra\u00e7 de\u011feri,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">yerine\u00a0ihra\u00e7 de\u011ferinin \u00fczerinde olacak \u015fekilde bir varl\u0131k veya getiriye endekslenmi\u015f ihra\u00e7 de\u011feri esas al\u0131nabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Projenin gecikmesi ve ger\u00e7ekle\u015fmemesi durumlar\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 9 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Edimlerin,\u00a0izahname\u00a0veya ihra\u00e7 belgesinde belirtilen ifa s\u00fcrelerinde ve esaslar \u00e7er\u00e7evesinde yerine getirilemeyece\u011finin anla\u015f\u0131lmas\u0131 projenin gecikmesi durumudur. Projenin gecikmesi durumunda;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a) Bu durumun anla\u015f\u0131ld\u0131\u011f\u0131 tarihten itibaren 15 i\u015f g\u00fcn\u00fc i\u00e7erisinde Tebli\u011fin 6\u00a0nc\u0131\u00a0maddesi uyar\u0131nca bir fizibilite raporu haz\u0131rlan\u0131r ve bu raporda projenin tamamlanmas\u0131 i\u00e7in gerekli oldu\u011fu belirtilen s\u00fcre i\u00e7in Kurula ek s\u00fcre talebiyle ba\u015fvurulur. Kurulca verilecek bu ek s\u00fcre genel zorlay\u0131c\u0131 sebepler haricinde hi\u00e7bir \u015fekilde proje biti\u015f tarihini izleyen 180 g\u00fcn\u00fc a\u015famaz.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Projenin gecikti\u011fi bilgisi, fizibilite raporunun sonu\u00e7 b\u00f6l\u00fcm\u00fc, Kurulca verilen ek s\u00fcre, bu kapsamda yeniden belirlenen edim kullan\u0131m ve ifa s\u00fcreleri ile yat\u0131r\u0131mc\u0131lara bu s\u00fcre boyunca \u00f6denecek cezai \u015farta ili\u015fkin esaslar,\u00a0izahnameveya ihra\u00e7 belgesi ile ayn\u0131 usuller \u00e7er\u00e7evesinde duyurulur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">c) Kurulca verilen ek s\u00fcre \u00e7er\u00e7evesinde yeniden belirlenen ifa s\u00fcreleri i\u00e7erisinde asli ve tali edimler yerine getirilir ve varsa cezai \u015fart \u00f6denir. Banka garantili ihra\u00e7larda Tebli\u011fin 7\u00a0nci\u00a0maddesinin sekizinci f\u0131kras\u0131 ile 8 inci maddesinin d\u00f6rd\u00fcnc\u00fc f\u0131kras\u0131 h\u00fck\u00fcmleri sakl\u0131d\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Verilen bu ek s\u00fcre sonunda veya ek s\u00fcre talebinde bulunulmamas\u0131 halinde vade sonunda edimlerin yerine getirilememesi veya getirilemeyece\u011finin anla\u015f\u0131lmas\u0131 projenin ger\u00e7ekle\u015fmemesi durumudur. Bu durumda en ge\u00e7 5 i\u015f g\u00fcn\u00fc i\u00e7erisinde Kurula bilgi verilir ve projenin ger\u00e7ekle\u015fmedi\u011fi, yat\u0131r\u0131mc\u0131lar\u0131n haklar\u0131 ve cezai \u015fart\u00a0dahil\u00a0yat\u0131r\u0131mc\u0131lara yap\u0131lacak \u00f6demelere ili\u015fkin esaslar\u00a0izahname\u00a0veya ihra\u00e7 belgesi ile ayn\u0131 usuller \u00e7er\u00e7evesinde duyurulur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u0130hra\u00e7tan elde edilen fonlar\u0131n kullan\u0131m \u015fekli<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 10 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Gayrimenkul sertifikas\u0131 ihrac\u0131 kar\u015f\u0131l\u0131\u011f\u0131nda elde edilen fon, yetkili kurulu\u015f veya banka garantili ihra\u00e7larda banka taraf\u0131ndan bir banka nezdinde a\u00e7\u0131lan \u00f6zel bir hesapta toplan\u0131r ve vekilin \u00f6zen borcu \u00e7er\u00e7evesinde devlet tahvili, hazine bonosu, Hazine M\u00fcste\u015farl\u0131\u011f\u0131nca ihra\u00e7 edilen kira sertifikalar\u0131, vadeli mevduat veya kat\u0131l\u0131m hesab\u0131 olarak veya Kurulca uygun g\u00f6r\u00fclecek di\u011fer sermaye piyasas\u0131 ara\u00e7lar\u0131na yat\u0131r\u0131lmak suretiyle ihra\u00e7\u00e7\u0131 ad\u0131na de\u011ferlendirilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Gayrimenkul sertifikas\u0131 ihrac\u0131ndan elde edilen fonlar, yaln\u0131zca gayrimenkul projesinin tamamlanmas\u0131nda veya bu projenin tamamlanmas\u0131 i\u00e7in ba\u015fvuru tarihi itibar\u0131yla kullan\u0131lm\u0131\u015f finansman kaynaklar\u0131n\u0131n geri \u00f6denmesinde kullan\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) \u0130hra\u00e7tan elde edilen toplam fonun yaln\u0131zca Tebli\u011f \u00e7er\u00e7evesinde haz\u0131rlanacak de\u011ferleme, fizibilite ve in\u015faat ilerleme raporlar\u0131n\u0131n yetkili kurulu\u015f taraf\u0131ndan haz\u0131rlat\u0131lmas\u0131 i\u00e7in asgari \u00fccret tarifesi dikkate al\u0131narak hesaplanan k\u0131sm\u0131 yetkili kurulu\u015f veya banka garantili ihra\u00e7larda banka taraf\u0131ndan bloke edilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) \u0130hra\u00e7tan elde edilen fonlar, in\u015faat ilerleme raporlar\u0131nda belirlenen oranlar \u00f6l\u00e7\u00fcs\u00fcnde yetkili kurulu\u015f veya banka garantili ihra\u00e7larda banka taraf\u0131ndan ihra\u00e7\u00e7\u0131ya, projenin tamamlanmas\u0131n\u0131n ba\u015fka ki\u015fi veya kurum taraf\u0131ndan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tamamlanmas\u0131 durumunda s\u00f6z konusu ki\u015fi veya kurumlara aktar\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(5) Projenin ger\u00e7ekle\u015fmemesi veya ger\u00e7ekle\u015fmeyece\u011finin kesinle\u015fmesi durumunda ihra\u00e7tan elde edilen fon hesab\u0131nda kalan tutarlar ihra\u00e7\u00e7\u0131ya aktar\u0131lmaz ve yaln\u0131zca yat\u0131r\u0131mc\u0131lara yap\u0131lacak geri \u00f6demelerde kullan\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(6) Gayrimenkul sertifikalar\u0131 itfa edildikten sonra, ihra\u00e7tan elde edilen fon hesab\u0131nda kalan tutarlar ihra\u00e7\u00e7\u0131ya aktar\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Kurula ba\u015fvuru ve gerekli belgeler<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 11 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Gayrimenkul sertifikalar\u0131n\u0131n ihrac\u0131nda Ek\/1\u2019de belirtilen belgelerle birlikte onay almak i\u00e7in Kurula ba\u015fvurulur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) \u0130hra\u00e7 edilecek gayrimenkul sertifikalar\u0131, Tebli\u011fin 4 \u00fcnc\u00fc maddesinin ikinci f\u0131kras\u0131 \u00e7er\u00e7evesinde konut ve ticari alanlar i\u00e7in ayr\u0131\u00a0ayr\u0131\u00a0belirlenen ihra\u00e7 tutar\u0131n\u0131 a\u015fmamak kayd\u0131yla Kurulca onay verilen ihra\u00e7 tavan\u0131 i\u00e7inde, tertipler halinde sat\u0131labilir.\u00a0\u0130zahnamenin\u00a0ge\u00e7erlilik s\u00fcresi boyunca yap\u0131lacak halka arzlarda, her tertibin sat\u0131\u015f\u0131ndan \u00f6nce Ek\/2\u2019de yer alan belgelerle birlikte Kuruldan onay almak amac\u0131yla Kurula ba\u015fvurulur. Halka arz edilmeksizin yap\u0131lacak sat\u0131\u015flarda ise, ihra\u00e7 limitine Kurulca onay verilen tarihten itibaren 1 y\u0131ll\u0131k s\u00fcre i\u00e7erisinde her tertibin sat\u0131\u015f\u0131ndan \u00f6nce tertip ihra\u00e7 belgesinin onaylanmas\u0131 amac\u0131yla Kurula ba\u015fvurulur.<\/span><\/p>\n<p align=\"center\"><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Halka arz yoluyla sat\u0131lan gayrimenkul sertifikas\u0131na konu ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tamamlanma d\u00fczeyi ile ilgili d\u00f6nem i\u00e7erisinde talep edilen ve ger\u00e7ekle\u015ftirilen asli edimlere ili\u015fkin bilgileri i\u00e7eren yat\u0131r\u0131mc\u0131 raporu, s\u00f6z konusu gayrimenkul sertifikas\u0131 itfa edilene kadar her 3 ayl\u0131k hesap d\u00f6nemleri itibar\u0131yla ihra\u00e7\u00e7\u0131n\u0131n internet sitesinde veKAP\u2019ta\u00a0raporun imzaland\u0131\u011f\u0131 g\u00fcn ilan edilir.\u00a0\u0130hra\u00e7\u00e7\u0131, yat\u0131r\u0131mc\u0131lara daha k\u0131sa d\u00f6nemler itibar\u0131yla raporlama yapabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) Yurt i\u00e7inde nitelikli yat\u0131r\u0131mc\u0131lara veya yurt d\u0131\u015f\u0131nda sat\u0131lmak \u00fczere ihra\u00e7 edilen gayrimenkul sertifikas\u0131na konu ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin tamamlanma d\u00fczeyi ile ilgili d\u00f6nem i\u00e7erisinde talep edilen ve ger\u00e7ekle\u015ftirilen asli edimlere ili\u015fkin bilgiler, s\u00f6z konusu gayrimenkul sertifikas\u0131 itfa edilene kadar 6 ayl\u0131k hesap d\u00f6nemleri itibar\u0131yla Kurula ve yat\u0131r\u0131mc\u0131lara iletilir. \u0130hra\u00e7\u00e7\u0131, yat\u0131r\u0131mc\u0131lara daha k\u0131sa d\u00f6nemler itibar\u0131yla raporlama yapabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Kamuyu ayd\u0131nlatma<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 13 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Halka arz yoluyla ger\u00e7ekle\u015ftirilen gayrimenkul sertifikas\u0131 ihra\u00e7lar\u0131nda Kurulun kamuyu ayd\u0131nlatma d\u00fczenlemelerinde belirtilen hususlara ek olarak ihra\u00e7\u00e7\u0131;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">a)\u00a0\u0130zahnamede\u00a0belirtilen asli edim kullan\u0131m ve ifa s\u00fcreleri ile tali edimin kullan\u0131m\u0131 i\u00e7in gayrimenkul sertifikalar\u0131n\u0131n ihra\u00e7\u00e7\u0131 hesab\u0131na aktar\u0131laca\u011f\u0131 s\u00fcre, s\u00f6z konusu s\u00fcrelerin ba\u015flang\u0131\u00e7 tarihinden en az 10 g\u00fcn \u00f6nce,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">b) Tebli\u011f h\u00fck\u00fcmleri kapsam\u0131nda yat\u0131r\u0131mc\u0131lar\u0131n tali edimden asli edime ge\u00e7i\u015f i\u00e7in edim de\u011fi\u015fikli\u011fi talebinde bulunabilecekleri s\u00fcreyi, s\u00f6z konusu s\u00fcrenin ba\u015flang\u0131\u00e7 tarihinden en az 10 g\u00fcn \u00f6nce,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">d) Tebli\u011fin 4 \u00fcnc\u00fc maddesinin sekizinci f\u0131kras\u0131 uyar\u0131nca ihra\u00e7\u00e7\u0131 taraf\u0131ndan yat\u0131r\u0131mc\u0131lara geri al\u0131m\u00a0imkan\u0131sa\u011flanmas\u0131 durumunda, vade boyunca yap\u0131lacak geri al\u0131mlara ili\u015fkin fiyat bilgisini her haftan\u0131n ilk i\u015f g\u00fcn\u00fc,<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">Kurul \u00fccreti<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 15 \u2013\u00a0<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">(1) \u0130hra\u00e7\u00e7\u0131lar taraf\u0131ndan, sat\u0131\u015f\u0131 yap\u0131lacak gayrimenkul sertifikalar\u0131n\u0131n, varsa\u00a0nominal\u00a0de\u011ferinden a\u015fa\u011f\u0131 olmamak \u00fczere, Kanunun 130 uncu maddesinin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131 uyar\u0131nca, ihra\u00e7 de\u011ferinin binde ikisi tutar\u0131nda \u00fccretin Kurul b\u00fct\u00e7esine gelir kaydedilmek \u00fczere yat\u0131r\u0131lmas\u0131 zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Gayrimenkul sertifikalar\u0131n\u0131n\u00a0kayden\u00a0ihrac\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 16 \u2013\u00a0<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">(1) \u0130hra\u00e7\u00e7\u0131 taraf\u0131ndan yurt i\u00e7inde ihra\u00e7 edilecek gayrimenkul sertifikalar\u0131n\u0131n MKK nezdinde elektronik ortamda\u00a0kayden\u00a0ihrac\u0131 ve bunlara ili\u015fkin haklar\u0131n hak sahipleri baz\u0131nda izlenmesi zorunludur.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(2) \u0130hra\u00e7\u00e7\u0131 taraf\u0131ndan yurt d\u0131\u015f\u0131nda ihra\u00e7 edilecek gayrimenkul sertifikalar\u0131n\u0131n MKK nezdinde elektronik ortamdakayden\u00a0ihrac\u0131 ve bunlara ili\u015fkin haklar\u0131n izlenmesi zorunludur. Yurt d\u0131\u015f\u0131nda ihra\u00e7 edilecek gayrimenkul sertifikalar\u0131, ihra\u00e7\u00e7\u0131n\u0131n veya MKK \u00fcyesinin niteli\u011fine g\u00f6re MKK nezdinde hak sahibi ismine hesap a\u00e7\u0131lmaks\u0131z\u0131n toplu olarak tutulabilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(3) Kurul, ihra\u00e7\u00e7\u0131n\u0131n talebi \u00fczerine yurt d\u0131\u015f\u0131nda ihra\u00e7 edilecek gayrimenkul sertifikalar\u0131n\u0131n MKK nezdinde\u00a0kaydenihra\u00e7 edilmesi zorunlulu\u011funa muafiyet verebilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-family: Verdana; font-size: xx-small;\">(4) Gayrimenkul sertifikalar\u0131n\u0131n bu maddenin \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131 kapsam\u0131nda MKK nezdinde\u00a0kayden\u00a0ihra\u00e7 edilmemi\u015f olmas\u0131 durumunda; yurt d\u0131\u015f\u0131nda ihra\u00e7 edilecek gayrimenkul sertifikalar\u0131na ili\u015fkin olarak; ihra\u00e7 tutar\u0131, ihra\u00e7 tarihi, ISIN kodu, vade ba\u015flang\u0131\u00e7 tarihi, vadesi, saklamac\u0131 kurulu\u015f, ihrac\u0131n ger\u00e7ekle\u015ftirildi\u011fi d\u00f6viz cinsi ve \u00fclkeye ili\u015fkin bilgiler, ihrac\u0131n ger\u00e7ekle\u015ftirilmesini takip eden 3 i\u015f g\u00fcn\u00fc i\u00e7erisinde\u00a0MKK\u2019ya\u00a0iletilir.\u00a0MKK\u2019ya\u00a0iletilen bu bilgilerde de\u011fi\u015fiklik olmas\u0131 halinde, de\u011fi\u015fikli\u011fin yap\u0131ld\u0131\u011f\u0131 tarihi takip eden 3 i\u015f g\u00fcn\u00fc i\u00e7erisinde\u00a0MKK\u2019ya\u00a0bilgi verilir.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Di\u011fer gayrimenkul sertifikalar\u0131na ili\u015fkin onay ba\u015fvurular\u0131n\u0131n Kurulca sonu\u00e7land\u0131r\u0131lmas\u0131<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 17 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Tebli\u011fde say\u0131lmamakla birlikte, Kurulun di\u011fer d\u00fczenlemelerinin kapsam\u0131 i\u00e7inde yer almayan ve niteli\u011fi itibar\u0131yla gayrimenkul sertifikas\u0131 oldu\u011fu Kurulca kabul edilecek sermaye piyasas\u0131 ara\u00e7lar\u0131na ait\u00a0izahname\u00a0ve ihra\u00e7 belgesinin onaylanmas\u0131na ili\u015fkin ba\u015fvurular, Tebli\u011f h\u00fck\u00fcmlerinin k\u0131yasen uygulanmas\u0131 suretiyle sonu\u00e7land\u0131r\u0131l\u0131r.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">Y\u00fcr\u00fcrl\u00fckten kald\u0131r\u0131lan tebli\u011f<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"font-family: Verdana; font-size: xx-small;\">MADDE 18 \u2013<\/span><\/strong><span style=\"font-family: Verdana; font-size: xx-small;\">\u00a0(1) Kurulun\u00a020\/7\/1995\u00a0tarihli ve 22349 say\u0131l\u0131 Resm\u00ee Gazete\u2019de yay\u0131mlanan Gayrimenkul Sertifikalar\u0131n\u0131n Kurul Kayd\u0131na Al\u0131nmas\u0131na \u0130li\u015fkin Esaslar Tebli\u011fi (Seri: III, No: 19) y\u00fcr\u00fcrl\u00fckten kald\u0131r\u0131lm\u0131\u015ft\u0131r.
